This agreement pertains to the sponsorship of a Country Life/Country Singles Network Web Site. In this agreement, the term "Sponsor" refers to you, and "CSN" refers to the Country Singles Network Web site wherein you will create your website name and url address. Wherever the agreement refers to "you" or "your", it means "the Sponsor"; "we" or "our" refer to the Country Singles Network.
TO QUALIFY FOR OUR SPONSORSHIP PROGRAM:
In order to be accepted into the Program, you must meet ALL of the following requirements:
- Any Sponsor that displays any of the following content on their website or in ways of promoting their website, which may include, but not limited to advertising is ineligible to join the network and shall be immediately removed from the CSN Sponsor Program:
- Sites/ads that promote sexually explicit material.
- Sites/ads that promote violence.
- Sites/ads that promote discrimination based on race, religion, sex, physical disability, or age.
- Sites/ads that promote illegal activities, including hacking, or instructions regarding anything illegal, etc.
- Sites/ads that contain defamatory, libelous, harmful material or otherwise infringe upon the rights of any third parties.
- Sites/ads that do not follow the CSN policies and/or practices.
- You must be at least 18 years old or older.
- You must promise to abide by all CSN rules and policies.
ENROLLMENT IN THE PROGRAM
To begin the Sponsor enrollment process, you must first read and submit this agreement form. If your enrollment has been accepted by CSN, you will be sent an acceptance email with your username/password access information.
PRIVACY POLICY
We respect the privacy of our visitors, subscribers, customers and sponsors. We do not divulge or sell any personal information that CSN receives.
By accepting this agreement you hereby grant us the right to send you emails for the purpose of informing you of changes to the Program, and communicating about general website ideas and conditions.
As part of the Program you will be given a password to access the information of your sites activity. It is your responsibility to maintain secrecy and control of this password so that others cannot gain access to, or change, your personal information. CSN cannot be held responsible for any loss of information or incorrect sending of payments if you fail to protect your information.
RESPONSIBILITIES
This agreement herein states the responsibility of CSN is to design, host and maintain the various customer service duties to run the Sponsor site. The responsibility of the Sponsor is to promote the website by any means that may include but not limited to print advertising, online submissions, logos and any other means that will legally generate exposure to the Sponsor site.
OWNERSHIP OF SPONSORED SITE
CSN owns the rights to the sponsored site. The Sponsor promotes the site and receives it's 50% share of revenue as long as it is in the Sponsorship Program, but CSN owns the site.
SPONSOR COSTS/SET UP FEES
The Sponsor costs and set up fees that have been explained and agreed upon by the Sponsor and CSN are as follows...
The cost of setting up a leased site is $149.95.
CSN Network Members.... If you are a paid member of one or our Country Singles Network web sites, you have the advantage of only paying a fee of $49.95 and the remainder of the $149.95 ($100) is paid through your leased web site. We receive all of the revenue until your $100 payment has been received by CSN in full. Once we have received the full payment of $149.95, you will then start to receive 50% of the revenue from your leased web site..
Non Members....If you are not a member of one or our Country Singles Network web sites, you will be billed the full amount of $149.95. Once this fee has been paid, you will then begin to receive 50% of the revenue that your leased web site is bringing in.
SPAM POLICY
The following policy regarding the use of "spam" shall be read and construed in conjunction with our privacy policy herein and below.
Spam, for the purposes of this agreement, shall be defined as unsolicited commercial email sent to third parties with whom you have no existing relationship or permission to send email for the purpose of promoting or generating business, or traffic, promoting any idea, harassing anyone for any reason, etc. especially but not limited to being via bulk email. This includes posting in newsgroups, forums, etc. where they do not specifically allow commercial posts.
We have a zero tolerance for spam. If you are not sure if something constitutes spam, do not do it. Anyone caught using spam to promote your links to our site or traffic to a web site that includes a link to our site will be grounds for immediate termination for cause. Ask us if you have a question about the use of email.
If you are caught spamming your partnership will be terminated, and you agree to forfeit any commissions due, including your second tier forever, in addition to any other liabilities for damages, costs, attorneys' fees, etc.
We will not use spam to promote any of our Sponsor sites or our business.
SPONSOR PERCENTAGE
You will earn 50% of the gross revenue on all NEW or RENEWING memberships sold to any member who joins your Sponsor web site as long as this agreement remains intact. Your payments will begin once your setup fees that are payable to CSN at the beginning of your sponsorship have been collected in full. Gross receipts only include funds collected via a valid credit card, check, money order or other means and does not include refunds, returns, uncollected items, fraud or any reimbursements for costs of collection.
REFUNDS, BAD CHECKS, CHARGEBACKS
If membership dues are later refunded to the customer or charged back by the customer, or if a customer's check is returned by the issuing bank, the sponsor commission will be deducted from the next monthly payment sent to the Sponsor. CSN reserves the right to terminate any sponsor whose site(s) generate an unacceptable number of charge backs or bad checks, at our discretion.
SPONSOR PAYMENT
Payments will be made monthly by the 10th of each month, starting with the first full month after your initial startup and after your setup fees have been paid in full to CSN. Therefore, if you signup at the end of the month of say January, your payment will before 10th of March or if setup fees have not yet been paid, you will receive your first payment after setup fees are paid in full. If at any month, the sponsor payment is under $25.00, this share will be added to the next month's payment check.
All payments will be paid in U.S. dollars.
TIME LIMITATIONS FOR SPONSORS PAYMENTS
All checks received by the Sponsor must be deposited within sixty (60) days from their issue date if not before.
MEMBERSHIP PRICING
The membership prices of CSN Sponsor sites will be set up by the CSN staff and can be changed at any time.
SPONSOR OFFERINGS TO MEMBERS
If Sponsor would like to advertise a special on their sponsored website, it must first be approved by CSN.
MEMBERSHIP PAYMENT PROCESSING
CSN will be solely responsible for processing every premium membership order placed by a member on the CSN Sponsor Pages. Premium membership orders will be accepted by credit card, personal check and money order. Once payments have been cleared through CSN, they will automatically be posted on the Sponsor tracking page that the sponsor will have access to. Payment processing, renewal payment processing, cancellations and refund processing, and related customer service are the responsibility of CSN. CSN reserves the right to reject any premium membership order that does not comply with our rules, operating procedures and/or policies, or the rules and policies of our credit card vendor.
TRACKING OF MEMBERSHIPS
CSN will be solely responsible for tracking membership sales. To protect CSN customer privacy, the names or other personal information about specific customers will not be provided to the Sponsor but shall be retained exclusively by the CSN. In addition, all personal information about specific customers collected by CSN shall be owned solely and exclusively by CSN. The sponsor fee resulting from a member purchase of a premium membership shall be payable to the sponsor who is registered with us as the owner of the sponsor website from which the paying member first joined the CSN.
COPYRIGHTED MATERIAL
Sponsors are solely responsible for ensuring that any and all materials provided by you, via upload, advertising both in print and online or any other means, including your logo, and name do not infringe on any third party. CSN will not be responsible if you use another party's copyrighted material in violation of the law.
LIMITED LICENSE
We hereby grant you a non-exclusive, non-transferable, revocable right to use our logos, trademarks, trade names, and similar identifying materials in your effort to promote us pursuant to this agreement and during the term thereof as they appear in the banners supplied by us to you.
You agree not to use the materials in any manner that is disparaging or that otherwise portrays us in a negative light. We reserve all of our rights in the materials and may revoke your agreement at any time.
You hereby grant to us a non-exclusive license to utilize your names, titles, and logos to design/promote your website. This license shall terminate immediately upon termination of this agreement.
WEBSITE NAME
If the Sponsor web site is a state website or a general name, CSN reserves the right to produce more than one site for each state or general name and contracted to another Sponsor. Only company named websites cannot be reproduced and contracted to other Sponsors.
OWNERSHIP OF MEMBER REGISTRATIONS
Every member who registers is deemed to be a customer of CSN. The Sponsor does not have the authority to make or accept any offer on behalf of CSN. All CSN policies regarding any memberships or premiums, including pricing and problem resolution, will apply to these customers. CSN is not responsible for any representations made by the Sponsor that contradict our policies.
COUNTRY SINGLES ONLINE NETWORK BRANDING
An image or wording will be displayed on the CSN Sponsor Pages that identifies the Host Site as a CSN Sponsor or a member of the Country Singles Online database.
ADVERTISING
CSN reserves the right to use Sponsor sites for various third party advertising that may include but not limited to banners, small logos and text links. Advertising will not included pop up banners and promotions.
RIGHT OF REPRESENTATION
The Sponsor gives CSN the right to represent the Sponsor site.
SERVICE INTERRUPTION
CSN will make every effort to keep its Sponsor Web site operational and available to the public 24 hours each day, 7 days each week. However, certain technical difficulties may, from time to time, result in temporary service interruptions. The Sponsor agrees not to hold CSN liable for any of the consequences of such interruptions.
TERMINATION OF AGREEMENT
CSN reserves its right, at any time, to terminate this agreement and gives right to the Sponsor to terminate this agreement at any time also. We must receive a 2 week notice before the site is pulled from our server if the website is using the Sponsor's Company name. If the terminated site has a state name, or general name, CSN reserves the right to transfer the website to another Sponsor.
If you are terminated for violating a clause in this agreement (ie. illegal advertising, spamming, etc.) or have acted in a manner that is not in good business practices or the best interests of the Network, you will forfeit any unpaid commissions, forever. You could additionally be subject to potential legal action for damages, costs, attorneys' fees, etc. We will notify you of the termination and the reason why you were terminated for cause.
If you terminate this agreement and end your enrollment in the Sponsor program, CSN reserves the right to transfer your site to another party. (This is not including company trademark names, but state sites and other various "general" website names.)
FUTURE AGREEMENT MODIFICATION
CSN reserves the right to change any of the terms and conditions in this agreement, at any time, in order to adjust to changing business conditions. However it is our intention to maintain the Sponsor Program as is for as long as possible, and we will not make any material, substantive changes unless they are in the best interest of the business and not without first giving you at least 7 days written notice to your email address of record. We will also post changes here on the web site.
If you do not agree with any future changes in the agreement, your only option will be to terminate your participation in the Program and remove all links to our site. Your continued participation in the Program shall constitute your binding acceptance of the change(s). You may decide not to continue active participation in the program and we will then terminate your sponsorship.
CANCELLATION OF AGREEMENT
If a Sponsor agreement is cancelled all access to the network will be terminated for all sites under the control of the terminated sponsor, and all members, premium or otherwise, who have registered at the Sponsor's Web site(s), will be notified of a different Web site from which they may regain access to the CSN unless website is transferred to another Sponsor.
WARRANTY DISCLAIMER
CSN makes no warranties, representations or conditions with regard to the program. It is agreed that the Sponsor will not hold CSN or it's staff responsible if their website does hold up to their expectations, earnings etc.... CSN only runs the website, the Sponsor has the responsibility of promoting it and gaining exposure at their own cost
SPONSOR REPRESENTATIONS AND WARRANTIES
The Sponsor represents and warrants that it has the necessary and full rights, power, authority and capabilities to enter into this Agreement and to perform its obligations hereunder; that it owns or controls the rights granted or licensed to the other party herein; and that the execution of and performance of its obligations under this Agreement will not violate the rights of any third party, nor any applicable federal, state and local law or regulation.
INDEPENDENT CONTRACTORS
Sponsors and CSN are independent contractors and nothing in this agreement is intended to or will create any form of partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. Partner shall not assign this Agreement, by operation of law or otherwise, without the prior written consent of CSN. Subject to the foregoing restriction, this agreement is binding upon, insures to the benefit of and is enforceable by the parties and their respective successors and assigns. Sponsor and CSN agree that the terms of this agreement and the agreement itself are confidential and neither party shall divulge the business terms and conditions of this agreement or the existence of the agreement itself without the prior written consent of the other party.
You are solely responsible for any taxes due as a result of any commissions earned by you hereunder. This includes federal, state and local income taxes, self-employment taxes, unemployment insurance, state disability, social security, or any other payments owed to government entities. In order for us to file the correct tax forms you will give us your accurate and complete tax ID or social security number as part of your enrollment.
You will have no authority to make or accept any offers or representations on our behalf and you will not make any statement, whether on your site or otherwise, to the contrary.
In unusual or extreme circumstances, termination of the web site can exist if one or both parties no longer want to run the web site. For example, if the web site isn't creating a lot of revenue each month, either you have the option of cancelling your lease of it, or we (Country Singles Online) can cancell it if it's not productive for us. But it is essential to keep a web site up at least 6 months before we can see if it will be productive or not. Set up fee are non-refundable. Applicants of the CSO Web Site Lease Program are not employees of Country Singles Online and are responsible for reporting revenue made for income tax purposes.
Country Singles Online also does not guarantee that revenue will be made on your leased web site. This all depends on how it is promoted. You also agree that Country Singles Online will not be held liable for an unsuccessful web site, including loss of income.
INDEPENDENT INVESTIGATION
You acknowledge that you have read this entire agreement and that you agree to all of its terms and conditions. You understand that we may at any time, directly or indirectly, engage in similar arrangements with other sites that are on terms that may differ from those contained herein, or we may operate web sites that are similar to or compete with your web site.
You have independently evaluated the desirability of participating in our Program and are not relying on any representation, statement or promise other than as set forth in this agreement.
